Cadence Design Buy the Hexagon Design and Engineering Division

Cadence Design has confirmed the purchase of the Swedish design and engineering division Hexagon ABfor which it will pay 2.7 billion euros, with the aim of increasing its customer base and climbing its product portfolio. Cadence, an American company dedicated to chips design software, will pay 70% of the amount mentioned in Metal, and 30% in company shares for Hexagon. The agreement includes the purchase of MSC Software, dedicated to simulation and engineering analysis solutions.

Cadence has among its main clients with Nvidia and Qualcomm, and is known for its computer -assisted electronics design software, a key tool for chips design, and also to verify that they are free of failures.

The division that has just been bought from Hexagon also focuses on the development of computer -assisted engineering software solutions, with products for sale dedicated to structural simulation and multi -dwelling dynamics. In 2024 their income approached the 265 million euros, and has more than 1,100 employees worldwide, and with R&D, sales and assistance of great experience in the sector.

The agreement will extend the Cadence client base, among which are original automotive equipment manufacturers and for the aerospace sector, such as the Volkswagen Group, BMW, Toyota, Boeing or Lockheed Martin. At present, the five are clients of the division that Hexagon has just sold to Cadence Design, which will have more resources for critical mission simulation workflows.

These solutions are essential to optimize structural integrity, vehicle dynamics and systems reliability, especially at a time when industries are going to electric vehicles, autonomous systems and advanced materials.

If there are no setbacks, the transaction will be closed during the first quarter of 2026. Cadence Design will have to pay compensation for termination of 175 million euros in case the purchase does not come to fructify. His last acquisition was in 2024, when he stayed with the car analysis software developer and Beta CAE Systems aircraft engines for 1,240 million dollars.

By adding the first level simulation capabilities of Hexagon D&E, we will expand our vision of the design of intelligent systems to cover the entire spectrum of physical behavior, from electromagnetic and fluids to structures and movement. This will be a fundamental step for your clients to design the complex convergent systems of the future«.
