The curtain falls on one of the most scrutinized legal dramas in tech. A federal jury in Oakland, California, has ended Elon Musk’s lawsuit against OpenAI, its CEO Sam Altman and its strategic partner Microsoft.

The reason is not a victory in substance, but a defeat in form: the complaint, filed in 2024, was judged inadmissible because lateexceeding the legal limitation periods.

The conflict revolved around the transformation in 2019 of the entity, initially non-profit, into a commercial structure now valued at hundreds of billions of dollars.

Why did Elon Musk lose his lawsuit against OpenAI?

The defeat of the boss of xAI does not rest on the validity of his accusations but on a fatal technical detail: the prescription. The jury found that the billionaire Elon Musk had waited too long to launch his legal action, well after having learned of the facts he was denouncing.

The deliberations were also expeditious, during less than two hoursa sign of a clear and flawless decision. The jurors therefore never had to decide on the central question of “ treason » of the original mission.

What exactly were Elon Musk’s accusations?

At the heart of the case, an accusation of moral and financial perjury. Musk claimed that OpenAI and Sam Altman had hijacked the organization’s founding mission: to develop AI “beneficial to humanity” in an altruistic manner.

He presented himself as a “betrayed benefactor”having invested $38 million in a promise that would have been sacrificed on the altar of profit. According to him, the creation of a for-profit entity and the massive partnership with Microsoft constituted a real misappropriation of charitable funds.

For its part, the defense painted a very different portrait, that of a Musk obsessed with “absolute control” and frustrated at not being able to merge OpenAI with Tesla.

Ce trial highlighted the tensions and excessive ambitions that accompanied the birth of the modern AI industry, where early idealism quickly collided with colossal economic challenges.

What are the consequences of this verdict for OpenAI?

The most immediate consequence is immense financial and strategic relief. By removing this legal threat, the court’s decision opens the way to what the entire sector is waiting for: a colossal IPO.

Analysts see this verdict as a « important victory » which removes the main obstacle to a listing that could value the company at nearly $1,000 billion.

Pour OpenAIit is the end of a chapter of doubts which could have called into question its entire capital structure. The AI ​​giant can now fully focus on its fierce competition with Google, Anthropic and xAI, with the prospect of raising gigantic capital on the public markets.

Is the legal battle really over?

The saga is not completely closed even if the outcome seems likely. The Musk camp, through its lawyer Marc Toberoff, immediately announced its intention to appeal the decision.

« This war is not over » (“This war is not over”), he said, promising to continue the fight before a higher court. Musk himself blasted the decision on technical detail of calendar » and accusing justice of creating a dangerous precedent for charitable works.

However, the chances of a successful appeal appear slim. Federal Judge Yvonne Gonzalez Rogers herself warned that there were “ substantial evidence » in favor of the jury’s verdict, suggesting that she was ready to dismiss the case automatically.
